THIS AGREEMENT CONTAINS BINDING CLASS ACTION AND JURY TRIAL WAIVER CLAUSES IN SECTION 11 BELOW THAT ARE APPLICABLE TO YOU AND US.
These Terms and Conditions (“Terms,” “Agreement”) are an agreement between Maverick Trinity LLC (“TalkGenie AI,” “We,” “us,” “our”) and the person (natural or legal) (“You,” “Customer,” “User”) and govern Your use of the talkgenie.ai website (“Site”), as well as TalkGenie AI’s voice automation services (“Services”). Your use of the Site and Services is conditioned on Your acceptance without modification of the terms, conditions, and notices contained herein, including but not limited to TalkGenie AI’s Privacy Policy (the “Privacy Policy”), as amended from time to time.
If You are accessing or using the Site or the Services on behalf of Your company, You certify that You have the authority to accept this Agreement on behalf of it. By signing up, accessing, or using the Site or the Services, You acknowledge Your acceptance of this Agreement and consent to be bound by its terms and conditions. Violations of these Terms may result in termination of Service and legal action against You.
Do not use the Site or the Services if You do not agree to the Terms or if Your jurisdiction will not honor them. Persons under the age of 13 are not authorized to use the Site.
1. Our Services
1.1. Voice Automation Services: TalkGenie AI is a platform that enables You to build and deploy AI-powered voice agents for call automation. Our service includes:
- Inbound Call Handling: Automated customer support and call center operations
- Outbound Call Automation: Batch calling capabilities for sales, surveys, and outreach
- Voice Cloning: Custom voice creation using third-party providers
- Integration Support: 40+ integrations including GHL, Google, Cal.com, OpenAI, Anthropic, and more
- Code Snippets: Embed voice agents directly in external websites
- Wallet System: Pay-as-you-go credit system for usage-based billing
1.2. Service Features:
- Full control over costing (TTS, STT, LLM models, real-time processing, telephony transport)
- Customizable AI agents with voice cloning capabilities
- Third-party provider integration (OpenAI, Google, Anthropic, and 10+ other providers)
- Phone number management and porting from other providers (Twilio, etc.)
- Template marketplace and pre-built agent templates
1.3. Future Services: TalkGenie AI may introduce additional services including enterprise plans, white-label solutions, subscription models, and expanded integrations. Such services will be subject to these Terms unless otherwise specified.
2. Payment Terms
2.1. Pay-As-You-Go Model: TalkGenie AI operates on a pay-as-you-go pricing model. Services are charged based on actual usage. No recurring subscriptions are required.
2.2. Wallet System: Users must maintain a credit balance in their wallet to use Services. Credits can be purchased through Stripe on via our platform.
2.3. Auto-Recharge: Users may enable automatic wallet top-up. By enabling this feature, You authorize TalkGenie AI to charge Your payment method when Your wallet balance falls below a specified threshold.
2.4. Payment Processing: All payments are processed through Stripe. You authorize TalkGenie AI to charge Your payment method for all Services used and any applicable fees.
2.5. No Refunds: All purchases are final. No refunds will be provided for unused credits or Services. Users are advised to purchase credits based on their actual needs.
2.6. Payment Failure: If payment fails or Your wallet balance is insufficient:
- All active voice agents will be immediately disabled
- Inbound calls will no longer be entertained
- Outbound calls will not be placed
- Phone numbers purchased through our platform may be released
- Services will remain suspended until payment is received
2.7. Free Credits: TalkGenie AI may offer free credits for trial purposes. Such offers are at our sole discretion and may be modified or discontinued at any time.
2.8. Price Changes: TalkGenie AI reserves the right to modify pricing at any time. Price changes will be communicated via email, blog posts, or platform notifications.
3. Acceptable Use Policy
3.1. General Prohibitions: You agree not to use the Services for any unlawful, harmful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of privacy, or otherwise objectionable purposes.
3.2. Telemarketing Compliance: You must comply with all applicable telemarketing laws and regulations, including but not limited to:
- Telephone Consumer Protection Act (TCPA)
- Do Not Call Registry requirements
- State-specific telemarketing laws
- International calling regulations
3.3. Content Moderation: Users are responsible for ensuring their use of Services complies with applicable laws and regulations. TalkGenie AI reserves the right to implement content moderation policies to prevent misuse.
3.4. Prohibited Activities:
- Using Services for illegal or fraudulent activities
- Attempting to circumvent security measures
- Interfering with other users’ access to Services
- Reverse engineering or attempting to access source code
- Using Services to transmit viruses or malicious code
- Violating any third-party rights or intellectual property
3.5. Know-Your-Customer: TalkGenie AI reserves the right to verify user identity and business information. Failure to provide accurate information may result in service termination.
4. Data and Privacy
4.1. Data Collection: We collect the following information:
- Account information (first name, last name, email, phone number, password)
- Third-party API keys (for STT, TTS, LLM providers)
- Call recordings and transcriptions
- Voice cloning data
- Usage analytics and performance metrics
4.2. Data Storage: All user data is stored in third-party cloud providers. Call conversations (transcriptions and audio recordings) are stored in our cloud storage with strict confidentiality measures.
4.3. Data Control: Users have full control over their data and can delete it at any time. Once deleted, we will not store any user-related data on our end.
4.4. Third-Party Data Sharing: Data may be shared with third-party providers for:
- STT, TTS, and LLM processing
- Voice cloning services
- Cloud storage and infrastructure
- Payment processing
Each third-party provider has its own contractual terms that apply to data processing.
4.5. AI Training: Currently, TalkGenie AI does not use conversation data for AI model training. If this policy changes, users will be notified and given the option to opt-out.
5. Voice Cloning and Intellectual Property
5.1. Voice Cloning Rights: Users retain ownership of their voice data and have the right to:
- Create voice clones using our platform
- Delete voice clones at any time
- Control how their voice data is used
5.2. Third-Party Voice Services: Voice cloning is provided through third-party providers. Users must comply with these providers’ terms of service.
5.3. AI-Generated Content: Users own the content generated by their AI agents, subject to compliance with these Terms and applicable laws.
5.4. Copyright Claims: If You believe Your copyrighted work has been infringed, please contact us at hello@talkgenie.ai with:
- Description of the copyrighted work
- Location of the infringing material
- Your contact information
- Statement of good faith belief
- Statement of accuracy under penalty of perjury
6. Service Availability and Support
6.1. Service Availability: TalkGenie AI strives to maintain high service availability but does not guarantee 100% uptime. Services may be temporarily unavailable due to:
- Scheduled maintenance
- Technical issues
- Third-party provider outages
- Force majeure events
6.2. Support Channels: Support is available through:

- Documentation and help resources on our website
6.3. Service Updates: We communicate service changes through:
- Email notifications
- Blog posts
- Social media updates
- Discord channel announcements
- Platform notifications
7. Third-Party Integrations
7.1. Integration Providers: TalkGenie AI integrates with multiple third-party services including:
- Appointment Booking: GHL, Google, Cal.com
- AI Models: OpenAI, Google, Anthropic, and 10+ other providers
- Telephony: Twilio and other telephony providers
- Payment Processing: Stripe
7.2. Third-Party Terms: Each integration provider has its own terms of service. Users must comply with these terms in addition to our Terms.
7.3. API Keys: Users may provide their own API keys for specific providers. You are responsible for:
- Maintaining the security of Your API keys
- Complying with provider terms of service
- Managing Your own provider accounts
7.4. Provider Changes: TalkGenie AI may add, remove, or modify third-party integrations at any time. We will notify users of significant changes.
8. Account Management
8.1. Account Creation: To use our Services, You must:
- Provide accurate account information
- Maintain the security of Your credentials
- Be at least 18 years old (or the minimum age in Your jurisdiction)
8.2. Account Security: You are responsible for:
- Maintaining the confidentiality of Your login credentials
- All activities that occur under Your account
- Notifying us immediately of any unauthorized use
8.3. Account Termination: We may terminate or suspend Your account if:
- You violate these Terms
- You engage in fraudulent or illegal activities
- Payment fails and remains unresolved
- You provide false or misleading information
8.4. Data Retention: Upon account termination, You may request deletion of Your data. We will process such requests within 30 days.
9. Limitation of Liability
9.1. Service Limitations: TalkGenie AI provides Services “as is” without warranties of any kind. We do not guarantee:
- Uninterrupted service availability
- Error-free operation
- Compatibility with all third-party systems
- Specific results from using our Services
9.2. Liability Cap: In no event shall TalkGenie AI be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, data, or business opportunities.
9.3. Force Majeure: Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including but not limited to:
- Natural disasters
- Government actions
- Third-party provider outages
- Network or infrastructure failures
10. Indemnification
10.1. User Indemnification: You agree to indemnify and hold harmless TalkGenie AI from any claims, damages, or expenses arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any third-party rights
- Your violation of applicable laws or regulations
11. Dispute Resolution
11.1. Informal Resolution: Before pursuing formal dispute resolution, You must first contact us at hello@talkgenie.ai to attempt informal resolution.
11.2. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
11.3. Jurisdiction: Any disputes shall be resolved in the courts of the United States, and You consent to the personal jurisdiction of such courts.
11.4. Class Action Waiver: You and TalkGenie AI agree that any proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
11.5. Jury Trial Waiver: You and TalkGenie AI hereby waive any constitutional and statutory rights to have a trial in front of a jury.
12. Modifications to Terms
12.1. Changes to Terms: TalkGenie AI reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website.
12.2. Notification: We will notify users of significant changes through:
- Email notifications
- Website announcements
- Platform notifications
12.3. Continued Use: Your continued use of Services after changes constitutes acceptance of the new Terms.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
14. Assignment
You may not transfer or assign this Agreement or any of Your rights or obligations under it without our prior written consent. TalkGenie AI may transfer or assign this Agreement without notice.
15. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between You and TalkGenie AI regarding the Services.
